1. Identification and purpose

These Terms and Conditions govern access to, registration for, use of and purchase of the services offered through VeryPyme.

The identification details of the provider are those set out in VeryPyme's Legal Notice, which forms part of the legal information permanently available on the platform.

VeryPyme is a digital platform designed to help companies and professionals manage business information relating, among other matters, to sustainability, ESG criteria, VSME, carbon footprint, risks, action plans, value chain, documentation, evidence and reports.

2. Intended users of the service

VeryPyme is a service aimed at companies, legal entities, business owners, self-employed persons and professionals who use it in connection with their business or professional activity.

By creating an organisation, using the platform or purchasing a service, the user declares that they act in the course of a business or professional activity and, when acting on behalf of an entity, declares that they have sufficient capacity or authorisation to act on its behalf.

VeryPyme is not designed for purchases by natural persons acting exclusively for private purposes unrelated to a business or professional activity.

This provision shall not limit any rights that are mandatory under the legislation that is legally applicable.

3. International scope

VeryPyme may be used by customers established in different countries.

The location, nationality or country from which the user accesses the service does not in itself modify these Terms and Conditions.

The availability of certain features, payment methods, tax treatments or other elements of the service may vary where necessary for legal, regulatory, tax, technical or operational reasons.

VeryPyme may limit or prevent the provision of the service in those territories or situations where the applicable legislation so requires.

4. User account

Certain VeryPyme features require a user account.

The user must provide truthful, sufficient and up-to-date information.

The user is responsible for the proper safekeeping of their credentials and for the actions carried out through their account, except for unauthorised use that has been duly reported.

VeryPyme may adopt reasonable security measures, including the temporary suspension of access, where there are indications of fraud, misuse, security risk or breach of these terms.

5. Organisations and representation

An account may be associated with a company or organisation.

The person who creates, administers or acts on behalf of an organisation declares that they have sufficient powers or authorisation to do so.

Where several users have access to the same organisation, their powers shall depend on the roles and permissions enabled by VeryPyme.

6. Organisation and reporting periods

VeryPyme may structure information into permanent organisation data and data corresponding to specific reporting periods or years.

General organisation data may be reused across reporting periods.

Data corresponding to a given reporting period may be linked to the specific period to which it belongs.

Each reporting period may constitute an independent assessment.

7. Information provided by the user

The calculations, assessments, results, recommendations and reports generated through VeryPyme depend, among other factors, on the information, answers and documentation provided by the user.

The user is responsible for the truthfulness, accuracy, completeness, currency and legitimacy of the information provided.

VeryPyme may carry out automatic or manual consistency and validation checks, but such checks do not remove the user's responsibility for the data provided.

8. Documentation and evidence

The user may upload documentation and evidence to the platform.

By providing documentation, the user declares that they have sufficient entitlement to use and process it within VeryPyme.

Documentation may be processed by automated systems in order to extract information, classify it, verify its consistency or facilitate the provision of the services purchased.

9. Artificial intelligence

Certain VeryPyme features may use artificial intelligence systems and automated processing.

These systems may be used, among other purposes, to analyse documentation, extract information, assist in assessments, identify inconsistencies or provide help to the user.

Results obtained through artificial intelligence are of an auxiliary nature and may require checking or review.

VeryPyme does not replace specialised legal, tax, financial, technical or professional advice where such advice is necessary.

10. ESG and VSME

VeryPyme allows information relating to sustainability and ESG criteria to be collected, structured and analysed, including information linked to standards such as VSME.

The use of VeryPyme may facilitate the preparation, structuring and communication of such information.

However, it is for each company to determine the legal or regulatory obligations that apply to it individually.

11. Carbon footprint

Carbon footprint features are based on the information provided by the user and on the emission factors, methodologies and sources integrated into the platform.

The user must check that the scope, period, information and documentation used are appropriate for the specific purpose pursued.

Where VeryPyme generates documentation intended to facilitate procedures before public administrations, registries or external bodies, final admission or decision shall depend on the requirements established by those bodies.

12. Reports, results and documents

VeryPyme may generate reports, assessments, certificates, documents and other results from the information available on the platform.

Unless expressly stated otherwise, these documents are issued by VeryPyme as the result of the service provided.

They do not in themselves constitute an administrative decision, official accreditation or certification issued by a public administration or official body.

Acceptance of the documents by third parties shall depend on the requirements that each third party may establish.

13. Sharing information

The user retains control over the information they decide to share using the features available in VeryPyme.

The existence of a commercial relationship, sponsorship, invitation or link between companies within VeryPyme does not automatically grant access to another organisation's private information.

Access permissions shall be subject to the features and authorisations existing on the platform.

14. Free and paid services

VeryPyme may offer free features and services subject to purchase.

Free use of certain features does not imply the acquisition of products, reports or services reserved for paid plans.

Before making a purchase, the customer must be able to know the main characteristics of the service and the applicable economic conditions.

15. Electronic contracting

Paid services are purchased through the procedure enabled in VeryPyme.

Before confirming a purchase, the customer may consult an order summary identifying, as applicable:

  • the service purchased;
  • the reporting period;
  • units;
  • price;
  • taxes;
  • total amount;
  • currency;
  • whether the payment is one-off or recurring;
  • the applicable particular terms.

The customer must take an express action confirming the order before proceeding to payment.

VeryPyme shall keep electronic evidence of the purchase made.

16. Prices

The applicable price shall be the one shown to the customer before confirming each purchase.

VeryPyme may change its prices for future purchases.

Subsequent price changes shall not modify transactions that were correctly concluded beforehand.

17. Taxes

Applicable taxes shall be determined in accordance with the billing information, the characteristics of the transaction and the relevant legislation.

Where prices are stated before taxes, the final amount may vary depending on the tax treatment applicable to the transaction.

The taxation of a transaction is independent of the law chosen to govern the contractual relationship.

18. Payments

Payments shall be made through the means enabled in VeryPyme.

Certain payments may be handled by specialised external providers.

Before confirming payment, the customer shall be shown the amount to be paid.

Unless expressly stated otherwise before purchase, VeryPyme services do not involve automatic renewal.

19. Supplier sponsorship

VeryPyme may allow a company to fund the access of one or more suppliers to certain services.

The purchase of these services may be subject to particular sponsorship terms that shall be shown to the customer before confirming the order.

Sponsorship funds access to the relevant service, but does not in itself grant the sponsor rights of access to the supplier's private data, documents, answers, assessments or results.

The supplier retains control of the information it shares, in accordance with the features enabled in VeryPyme.

20. Service availability

VeryPyme shall endeavour to keep the platform available and operational.

Interruptions may occur as a result of maintenance, updates, technical incidents, third-party services, force majeure or circumstances reasonably beyond VeryPyme's control.

VeryPyme may modify and evolve its features in order to improve, adapt or maintain the service.

21. Third-party services

In order to provide certain features, VeryPyme may use external providers relating, among other areas, to:

  • infrastructure;
  • hosting;
  • authentication;
  • storage;
  • communications;
  • payments;
  • artificial intelligence;
  • analytics or technical services.

The processing of personal data associated with these providers is governed by the Privacy Policy.

22. Intellectual and industrial property

The VeryPyme platform, its software, design, structure, own content, trademarks, methodologies and other protectable elements belong to their respective owners and are protected by the applicable legislation.

The use or purchase of VeryPyme does not imply any transfer of intellectual or industrial property rights.

The user retains the rights to which they are entitled over the data and documentation they provide to the platform.

23. Acceptable use

It is not permitted to use VeryPyme:

  • for unlawful or fraudulent activities;
  • to infringe the rights of third parties;
  • to introduce malicious content;
  • to access accounts, systems or data without authorisation;
  • to deliberately interfere with the operation of the platform.

VeryPyme may adopt the measures reasonably necessary to prevent such uses.

24. Liability

VeryPyme shall be liable for the provision of its services to the extent required by law.

VeryPyme shall not be liable for the consequences of incorrect, incomplete or outdated information provided by the user where the result depends on such information.

Nor shall it be liable for decisions taken by public administrations, customers, suppliers, financial institutions or other third parties on the basis of information or documentation generated through the platform.

Nothing in these terms excludes or limits any liability that cannot legally be excluded or limited.

25. Data protection

Personal data shall be processed in accordance with VeryPyme's Privacy Policy.

Acceptance of these Terms and Conditions does not replace any specific consents that must be requested separately where consent is the applicable legal basis.

Where VeryPyme processes personal data on behalf of the customer as a data processor, the Data Processing Agreement (DPA) in force shall also apply; it forms part of the contractual relationship and shall prevail over these Terms and Conditions with respect to such processing.

26. Changes to the terms

VeryPyme may update these Terms and Conditions where necessary due to regulatory, technological, operational or service-related changes.

Each version shall be identified by a date or version number.

Where a change legally requires a new acceptance or substantially modifies the contractual relationship, VeryPyme may ask the user to accept the new version before continuing to use certain features.

New versions shall not retroactively alter the terms applicable to transactions concluded beforehand, except where required by the applicable legislation or where there is a valid agreement between the parties.

27. Termination and suspension

The user may request the closure of their account through the mechanisms available.

The deletion or closure of an account shall not automatically entail the refund of amounts corresponding to services already provided or performed.

VeryPyme may retain any information that must be kept for the periods required by law.

28. Governing law

These Terms and Conditions and the contractual relationships arising from access to, use of or purchases through VeryPyme shall be governed by and construed in accordance with Spanish law.

The choice of Spanish law shall apply regardless of the country from which the customer operates or is established, without prejudice to any mandatory provisions that are legally applicable and cannot be excluded by agreement between the parties.

29. Jurisdiction

Where the customer acts in the course of their business or professional activity and no different mandatory forum applies, the parties agree to submit any dispute relating to the interpretation, validity, performance or termination of the contractual relationship to the Courts and Tribunals of the place where VeryPyme has its registered office.

This provision is without prejudice to any mandatory rules on jurisdiction that may apply.

30. Language

These terms may be made available to users in different languages.

The Spanish version constitutes the contractual reference version, unless an applicable mandatory provision provides otherwise.
